Terms of Service

1. Acceptance of terms

By accessing or using Quotara ("the Service"), operated by Quotara Labs Inc. ("Quotara", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including account owners, estimators, supervisors, operators, and any other personnel added to an organization account. If you are accepting these Terms on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of service

Quotara is a cloud-based quoting and shop management platform designed for job shops and manufacturers across North America. Features include AI-assisted quote creation, file-based part analysis, work order tracking, floor time tracking, job costing, customer management, parts library management, and reporting. We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable advance notice of material changes where practicable.

3. Accounts and registration

You must provide accurate and complete information when creating an account and keep it current. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@getquotara.ca of any suspected unauthorized access. Each organization is responsible for all users it adds to its account and for ensuring those users comply with these Terms. You may not share login credentials between individuals or create accounts on behalf of another person without their authorization.

4. Free trial and billing

New accounts receive a 14-day free trial with full access to the Service. No credit card is required during the trial. After the trial period, continued access requires a paid subscription. Subscriptions are billed monthly or annually in Canadian dollars (CAD) or US dollars (USD) depending on your selection at checkout. All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy. We reserve the right to change pricing with 30 days written notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

5. Your data and content

You retain full ownership of all data and content you submit to the Service, including customer records, quotes, work orders, parts library data, cost structure information, and any files you upload ("Your Content"). You grant Quotara a limited, non-exclusive licence to store, process, and transmit Your Content solely as necessary to provide the Service to you.

You represent and warrant that: (a) you own or have the necessary rights to all content you submit; (b) your content does not infringe the intellectual property rights, trade secrets, or confidentiality obligations of any third party; and (c) any files you upload, including engineering drawings, CAD files, and technical documents, are submitted with the authorization of the relevant rights holders.

We do not sell your data to third parties. If you cancel your account, your data will be retained for 30 days before permanent deletion, during which time you may request an export by contacting support@getquotara.ca.

6. AI-powered features and file analysis

Quotara offers AI-powered features including RFQ import, job description analysis, part file analysis (supporting STEP, IGES, DXF, DWG, STL, PDF, and image formats), and AI-suggested line items. By using these features, you acknowledge and agree that:

  • Content you submit to AI-powered features — including text, uploaded files, and engineering drawings — is transmitted to Anthropic, PBC for processing via their API. Anthropic does not use API inputs or outputs to train its AI models and does not retain your data beyond what is necessary to process each individual request.
  • AI-generated output, including quote drafts, suggested line items, part summaries, complexity ratings, and labour estimates, are suggestions only and may be inaccurate, incomplete, or unsuitable for your specific job. You are solely responsible for reviewing, verifying, correcting, and approving all pricing, quantities, line items, and other details before sending any quote to a customer or using any estimate for business decisions.
  • Quotara makes no warranty that AI-generated output reflects actual machining requirements, material costs, labour times, or achievable margins for any particular part or job.
  • You should not upload files or submit content that is subject to ITAR controls, export restrictions, confidentiality agreements that prohibit third-party processing, or any other legal restriction that would prevent sharing with a third-party AI service provider. Quotara accepts no liability for your submission of restricted content.
  • Machine rate and cost structure data you enter (including machine hourly cost, operator rates, and target margins) is stored in your account and used solely to improve AI estimate suggestions within your account. You are responsible for the accuracy of this data and for any business decisions made in reliance on estimates generated using it.
  • Use of AI-powered features is optional. All core quoting and shop management functionality remains available without using these features.

7. Intellectual property

The Service, including its software, design, text, graphics, and all other content created by Quotara, is owned by Quotara Labs Inc. and protected by applicable intellectual property laws. These Terms do not grant you any rights to use Quotara's name, logo, trademarks, or other intellectual property except as necessary to use the Service as intended.

You retain all intellectual property rights in Your Content. Nothing in these Terms transfers ownership of Your Content to Quotara.

8. Marketing and customer reference

With your prior written consent — which may be given by email or by opting in through a consent mechanism we provide — Quotara may: (a) identify your business by name and display your logo as a customer of Quotara in our marketing materials, website, case studies, and sales presentations; and (b) reference your general use of the Service (for example, "a CNC job shop in Ontario"). We will not disclose confidential details about your business, pricing, or specific usage without your explicit written approval for each use.

You may withdraw consent for future marketing use at any time by contacting us at hello@getquotara.ca. Withdrawal of consent will not require us to remove existing published materials that were produced with your prior consent, but we will not use your name or logo in new materials following withdrawal.

9. Acceptable use

You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorized access to any part of the Service or another user's account; interfere with or disrupt the Service's operation or servers; reverse engineer, decompile, or attempt to extract the source code of the Service; upload malicious code, viruses, or harmful content; use the Service to store or transmit content that infringes third-party intellectual property rights; or resell or sublicence access to the Service without our written consent. We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

10. Indemnification

You agree to indemnify, defend, and hold harmless Quotara Labs Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) Your Content, including any files you upload; (c) your violation of these Terms; (d) your violation of any third-party rights, including intellectual property rights or confidentiality obligations; or (e) any claim by a third party arising from a quote, estimate, or business decision you made based on output from the Service.

11. Limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by applicable law, Quotara Labs Inc. shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of or inability to use the Service, including but not limited to: loss of revenue or profit; loss of data; loss of business; costs of re-quoting jobs or remedying incorrectly priced jobs; damage to reputation; or any damages resulting from reliance on AI-generated estimates, file analysis results, or any other output of the Service.

Our total aggregate liability to you for all claims arising under or related to these Terms or the Service shall not exceed the total fees you paid to Quotara in the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid any fees (for example, during a free trial), our total liability shall not exceed one hundred Canadian dollars (CAD $100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

12. Suspension and termination

You may cancel your account at any time through your account settings or by contacting support@getquotara.ca. Cancellation takes effect at the end of the current billing period. We may suspend or terminate your access to the Service immediately and without notice if we determine you have violated these Terms, if your account is overdue, or if we reasonably believe suspension is necessary to protect the Service or other users. Upon termination, your right to access the Service ceases immediately.

13. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email to the address on your account and by posting the updated Terms on this page with a revised "last updated" date, at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.

14. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree that any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the courts of competent jurisdiction in the Province of Ontario, and you irrevocably consent to the personal jurisdiction of those courts.

15. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Quotara regarding the Service and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision. You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.
